| 内容記述 | In the former paper, I described sudden increase of the research on firm and company in the first half of the Taisho Period. It was the study on business firm and company. Together with the progress of the study, some scholars wrote books and papers on business firm and company such as On business firm(1912) by Yurimatsu Kodama, Economics on joint-stock company(1913) by Teijirou Ueda, and The forms and substance of joint-stock company(1913) by Youjirou Masuchi, and others (Tokuzou Fukuda, Hajime Seki). They were all alumni of Tokyo commercial college (=current Hitotsubashi University) because it was substantially the only one school of the latest and the highest study of commerce and management. Among them, controversy happened over the substance of joint-stock company. Main issues were the following points. (1)Joint-stock company system itself How do we estimate it, how is the difference between it and private enterprise,etc. (2)Board of directors system How do we estimate it, what is the essence of it, (3) Limited liability system What is the essence of it.
